Mutual Non-Disclosure Agreement

This Mutual Non-Disclosure Agreement (the “Agreement”) is entered into as of Effective date between First party and Second party (each a “Party”).

1. Purpose

The Parties wish to explore Purpose (the “Purpose”) and may disclose confidential information to each other in connection with the Purpose.

2. Confidential Information

“Confidential Information” means any non-public information disclosed by one Party to the other, whether oral, written, or electronic, that is designated confidential or that reasonably should be understood to be confidential.

3. Obligations

• Use Confidential Information solely for the Purpose.
• Protect it with at least reasonable care.
• Do not disclose it to third parties without prior written consent.

4. Term

This Agreement remains in effect for Confidentiality term from the Effective Date.

5. Governing Law

This Agreement is governed by the laws of Governing law. The courts of Court or forum have exclusive jurisdiction over any dispute arising from it.
